Welcome to Audiovarsity (“we,” “our,” “us”). These Terms of Use (“Terms”) govern your access and use of the Audiovarsity website, services, features, and content (collectively, the “Platform”) located at www.Audiovarsity.co.za.

By accessing, browsing, or using the Platform, including by registering an account, purchasing a course, or uploading content, you agree to be bound by these Terms and our [Privacy Policy](link to privacy policy) and [Refund Policy](link to refund policy), which are incorporated herein by reference.

If you are using the Platform on behalf of a company or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and “you” will refer to that entity.

If you do not agree to these Terms, you may not access or use the Platform.

  1. DESCRIPTION OF SERVICE

Audiovarsity is an online learning platform that enables students (“Students”) to find, purchase, and access educational courses (“Courses”) created by independent instructors (“Instructors”). We provide the platform and technology to host, market, and facilitate the sale of these Courses. We are not responsible for the content of any Courses, the services promised by Instructors, or any interactions between Students and Instructors, except as provided in the Refund Policy.

  1. USER ACCOUNTS

Eligibility: You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account and use the Platform. By creating an account, you represent and warrant that you meet this age requirement.

Account Creation: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are solely responsible for safeguarding your account password and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.

Account Types:

*   Student Account: For users who wish to enroll in and consume Courses.

*   Instructor Account: For users who wish to create, publish, and teach Courses. Instructor accounts may be subject to a separate application process and additional agreements.

  1. COURSE ENROLLMENT AND LIFETIME ACCESS

When you enroll in a Course as a Student, you receive a license from us to view it via the Audiovarsity platform only, for your personal, non-commercial use. We grant you a lifetime access license, except when we must disable the content due to legal or policy reasons. “Lifetime” refers to the lifetime of the Audiovarsity service, not the user or Instructor. We reserve the right to revoke any license to access and use any content at any point if we determine you have violated these Terms.

  1. PAYMENTS, TAXES, AND REFUNDS

Pricing: The price of Courses is set by the Instructors. However, we may occasionally run promotions or sales. We reserve the right to change prices at any time.

Payment: You agree to pay all fees for Courses you purchase. You authorize us to charge your chosen payment provider for the total amount of fees. We use third-party payment processors (e.g., Stripe, PayPal) and you agree to their terms as well.

Taxes: Prices are as listed but may not include applicable sales, value-added, or other taxes. You are responsible for paying all such taxes associated with your purchases.

Refunds: All refunds are governed by our Refund Policy

  1. CONTENT AND BEHAVIOR RULES

License to Audiovarsity: By uploading or posting any content (including Courses, reviews, questions, posts, etc.) to the Platform, you grant Audiovarsity a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform that content in connection with the operation of the Platform and Audiovarsity’s business.

Instructor Guarantees: Instructors represent and warrant that:

  1. They own or have the necessary licenses, rights, consents, and permissions to all content they submit.
  2. The content is accurate, not misleading, and will not cause injury to any person or entity.
  3. They will not post or provide any content that is illegal, pornographic, defamatory, infringing of intellectual property rights, or that consists of any educational content that is not their original creation (unless legally permitted).

User Conduct: You agree not to:

*   Use the Platform for any illegal purpose or in violation of any laws.

*   Share your login credentials or give others access to your account.

*   Access, tamper with, or use non-public areas of the Platform or our computer systems.

*   Reverse engineer, decompile, or otherwise attempt to discover the source code of the Platform.

*   Interfere with or disrupt any user, host, or network (e.g., by sending a virus, overloading, spamming, or mail-bombing the Platform).

*   Post irrelevant content, repeatedly post the same content, or post unauthorized advertisements.

*   Impersonate another person or gain unauthorized access to another user’s account.

*   Abuse our support services or submit false reports of abuse.

  1. INTELLECTUAL PROPERTY RIGHTS

Platform Content: All content on the Platform, including text, graphics, logos, software, and the overall design, is the property of Audiovarsity or its licensors and is protected by copyright, trademark, and other laws.

Course Content: The intellectual property rights in the Course content are retained by the Instructor or the original rights holder. The Course is licensed to Students, not sold.

  1. DISCLAIMER OF WARRANTIES

THE PLATFORM AND ALL INCLUDED CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND. AUDIOVARSITY AND ITS INSTRUCTORS, PARTNERS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

  1. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER AUDIOVARSITY NOR ITS INSTRUCTORS, EMPLOYEES, DIRECTORS, OR AGENTS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

(A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM;

(B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; OR

(C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR USE OF THE PLATFORM IS LIMITED TO THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID US IN THE PAST SIX MONTHS.

  1. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Audiovarsity, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that arise from your use or misuse of the Platform, your violation of these Terms, or your infringement of any intellectual property or other right of any person or entity.

  1. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by the laws of [State/Country], without regard to its conflict of laws principles.

Any dispute arising from these Terms shall be resolved through final and binding arbitration, rather than in court. The arbitration will be conducted by a single arbitrator under the rules of [e.g., the American Arbitration Association]. The arbitration will take place in [City, State/Country]. You may only bring disputes in your individual capacity and not as a class action.

  1. MISCELLANEOUS

*   Termination: We may terminate or suspend your account and access to the Platform at our sole discretion, without notice, for conduct we believe violates these Terms or is harmful to other users, us, or third parties.

*   Changes to Terms: We may modify these Terms at any time. We will provide notice of material changes via the Platform or by email. Your continued use of the Platform after the changes become effective constitutes acceptance of the new Terms.

*   Entire Agreement: These Terms, along with the Privacy and Refund Policies, constitute the entire agreement between you and Audiovarsity regarding the Platform.

*   Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

*   No Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
